Terms of Service

To use Villioo, you must:

• Be at least eighteen (18) years old or the age of majority in your jurisdiction.
• Have the legal capacity to enter into a binding agreement.
• Provide accurate and complete registration information.
• Comply with all applicable laws and regulations while using the Services.

If you are using Villioo on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Creating a Villioo account allows you to access personalized Career Intelligence features. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• Using a strong password or supported authentication method.
• Keeping your account information current and accurate.
• All activity that occurs under your account.

You agree to notify Villioo immediately if you suspect unauthorized access to your account. Villioo is not responsible for losses resulting from your failure to safeguard your account credentials.

Villioo is designed for individual professionals seeking to improve their careers through data-driven insights and AI-assisted guidance. Unless expressly authorized by Villioo, you may not:

• Use the Services for unlawful purposes.
• Attempt to gain unauthorized access to the platform.
• Reverse engineer or attempt to extract source code.
• Circumvent security features.
• Scrape or harvest platform data.
• Use automated bots or scripts without authorization.
• Resell or commercially exploit the Services.
• Upload malicious software or harmful code.
• Interfere with the operation or security of the Services.
• Use Villioo to infringe another person's intellectual property or privacy rights.

Villioo reserves the right to suspend or terminate accounts that violate these Terms.

You retain ownership of the content you upload to Villioo, including résumés, cover letters, employment history, skills, certifications, career documents, job descriptions, notes, career goals, and other professional information ("User Content").

By submitting User Content, you grant Villioo a limited, non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and analyze that content solely for the purpose of providing, maintaining, securing, and improving the Services. Villioo does not claim ownership of your User Content.

You represent and warrant that:

• You own or have the necessary rights to upload the content.
• The content does not violate applicable law.
• The content does not infringe the rights of any third party.
• The content is accurate to the best of your knowledge.

Villioo may remove content that violates these Terms or applicable law.

Villioo incorporates artificial intelligence to help professionals make more informed career decisions. AI-powered features may include:

• CareerPulse™
• ATS Genome™
• HiringLens™
• ResumeAdapt™
• Resume Simulator™
• OpportunityScore™
• Application Command Center™
• RecoveryPath™
• Future AI-enabled products

These features analyze information you provide to generate personalized recommendations and insights.

Responsible Use of AI

Villioo is committed to developing AI responsibly by emphasizing transparency, user control, fairness, privacy, and continuous improvement. Where practical, we will indicate when content or recommendations are AI-generated.

Your Responsibility

AI-generated content is intended to assist—not replace—your own judgment. You remain solely responsible for reviewing, editing, verifying, and approving any AI-generated content before using or submitting it.

Villioo is a career intelligence platform. Villioo does not:

• Recruit candidates.
• Act as an employer.
• Make hiring decisions.
• Determine interview eligibility.
• Guarantee interviews.
• Guarantee employment.
• Guarantee promotions.
• Guarantee salary outcomes.

Any recommendations generated by Villioo are informational only and should not be interpreted as guarantees of future results.

Information provided through Villioo is intended for informational and educational purposes only. The Services do not constitute:

• Legal advice
• Financial advice
• Tax advice
• Human resources consulting
• Employment law advice
• Career coaching (unless expressly provided through future coaching services)

Users remain responsible for their own career decisions.

Villioo offers both free and paid subscription plans. Features available under each plan are described on our Pricing page and may change from time to time. By purchasing a subscription, you agree to pay all applicable fees associated with your selected plan.

Unless otherwise stated:

• Subscription fees are billed in advance.
• Prices are listed in U.S. Dollars (USD).
• Applicable taxes may be added where required by law.

Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. By subscribing, you authorize Villioo or its payment processor to charge your selected payment method for each renewal period. You may manage or cancel your subscription through your account settings.

Price Changes

Villioo may modify subscription pricing from time to time. If we increase the price of your subscription, we will provide reasonable advance notice before the new pricing becomes effective. Your continued use of the Services after the effective date constitutes acceptance of the updated pricing.

Villioo may offer:

• Free trials
• Promotional pricing
• Discount codes
• Referral incentives
• Educational discounts
• Limited-time offers

Unless otherwise stated:

• Promotional offers may not be combined.
• Each user may be limited to one promotional offer.
• Promotional offers have no cash value.
• Villioo may modify or discontinue promotional programs at any time.

If you do not cancel before the end of a free trial, your subscription may automatically convert to a paid plan.

You may cancel your subscription at any time through your account settings. Cancellation prevents future renewals but does not automatically entitle you to a refund for the current billing period unless required by applicable law or expressly stated by Villioo.

Following cancellation:

• Your paid subscription remains active until the end of the current billing cycle.
• Certain premium features may become unavailable.
• Your account may revert to the Free plan where applicable.

It is your responsibility to cancel before your renewal date.

Unless otherwise required by law, subscription fees are generally non-refundable.

Villioo may issue refunds, credits, or other remedies at its sole discretion in circumstances including:

• Duplicate charges
• Billing errors
• Technical issues that substantially prevented access to the Services
• Other situations determined appropriate by Villioo

Nothing in this section limits any rights that cannot legally be waived under applicable consumer protection laws.

The Services, including all software, designs, text, graphics, logos, trademarks, service marks, user interfaces, algorithms, AI models, documentation, and other content provided by Villioo (excluding User Content), are owned by Villioo or its licensors and are protected by intellectual property laws. This includes, without limitation:

• Villioo®
• CareerPulse™
• ATS Genome™
• HiringLens™
• ResumeAdapt™
• Resume Simulator™
• OpportunityScore™
• Application Command Center™
• RecoveryPath™
• Other Villioo trademarks, product names, and proprietary technologies

Nothing in these Terms transfers ownership of Villioo's intellectual property to you.

Subject to these Terms, Villioo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial career development. You may not:

• Copy the platform.
• Reverse engineer the platform.
• Create derivative works.
• Resell access.
• License the Services to others.
• Use Villioo to build competing products.
• Remove proprietary notices.

Any rights not expressly granted remain reserved by Villioo.

Villioo may introduce coaching services in the future. When available:

• Coaches will operate as independent professionals.
• Villioo is not the employer of coaches.
• Villioo does not guarantee coaching outcomes.
• Coaching agreements may be subject to additional terms.

Users are responsible for evaluating whether coaching services meet their individual needs.

Villioo may introduce community features that allow users to communicate, share experiences, and collaborate. When participating in community spaces, users agree to:

• Treat others respectfully.
• Avoid harassment or discrimination.
• Avoid posting unlawful content.
• Respect intellectual property rights.
• Protect confidential information.

Villioo reserves the right to moderate, remove, or restrict community content that violates these Terms or Community Guidelines.

Villioo may integrate with third-party products or services. Examples may include:

• Authentication providers
• Payment processors
• Calendar integrations
• Email providers
• AI providers
• Cloud infrastructure
• Analytics platforms
• Professional networking services

Your use of third-party services is governed by their respective terms and privacy policies. Villioo is not responsible for third-party products or services.

We strive to provide reliable access to the Services. However, Villioo does not guarantee uninterrupted or error-free operation. The Services may occasionally become unavailable due to:

• Maintenance
• Updates
• Security improvements
• Internet interruptions
• Third-party failures
• Force majeure events

Villioo reserves the right to modify, suspend, or discontinue features at any time.

If you submit ideas, suggestions, feature requests, or feedback regarding the Services, you grant Villioo a perpetual, worldwide, royalty-free, irrevocable license to use, modify, incorporate, and commercialize such feedback without obligation or compensation to you.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VILLIOO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy
• Reliability
• Availability
• Security
• Performance

Villioo does not warrant that:

• The Services will be uninterrupted.
• The Services will always be error-free.
• AI-generated recommendations will always be accurate.
• Every feature will always be available.
• Defects will be corrected immediately.
• The Services will meet every user's expectations.

Villioo uses artificial intelligence to generate career-related insights and recommendations. Artificial intelligence is inherently probabilistic and may occasionally generate inaccurate, incomplete, outdated, or inappropriate content.

Users acknowledge that:

• AI recommendations are informational only.
• AI-generated content should always be reviewed before use.
• Users remain solely responsible for resumes, applications, career decisions, and communications submitted to employers.
• Villioo does not verify the factual accuracy of AI-generated content.
• Employers do not receive or rely upon Villioo's internal AI analyses.

Villioo encourages users to exercise independent judgment when relying on AI-assisted recommendations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLIOO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, INVESTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

• Indirect damages
• Incidental damages
• Special damages
• Consequential damages
• Exemplary damages
• Punitive damages
• Lost profits
• Lost opportunities
• Lost employment
• Lost data
• Business interruption
• Loss of goodwill

arising out of or relating to:

• Your use of the Services.
• AI-generated recommendations.
• Employment decisions made by employers.
• Errors or interruptions.
• Third-party services.
• Unauthorized access.
• Data loss.
• Security incidents beyond Villioo's reasonable control.

To the fullest extent permitted by law, Villioo's total aggregate liability for all claims arising out of or relating to the Services shall not exceed the greater of: (a) one hundred U.S. dollars (US $100); or (b) the total amount you paid to Villioo during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain liability limitations. In those jurisdictions, these limitations apply only to the extent permitted by law.

You agree to defend, indemnify, and hold harmless Villioo, its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your User Content.
• Your violation of another person's rights.
• Your violation of applicable law.
• Your misuse of AI-generated content.

Villioo reserves the right to suspend, restrict, or terminate access to the Services at any time if we reasonably believe you have:

• Violated these Terms.
• Engaged in unlawful activity.
• Compromised platform security.
• Misused the Services.
• Attempted fraud.
• Infringed intellectual property rights.
• Interfered with other users.

Termination may result in:

• Loss of access to your account.
• Removal of premium features.
• Deletion of User Content, subject to applicable law and our Privacy Policy.
• Forfeiture of unused subscription time where permitted by law.

You may delete your account at any time through your account settings or by contacting Villioo support.

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles.

Before initiating formal legal proceedings, you agree to contact Villioo and make a good-faith effort to resolve any dispute informally. If a dispute cannot be resolved through informal discussions, it shall be resolved in accordance with applicable law.

Optional Future Provision: Villioo may elect to adopt binding arbitration and a class action waiver in a future version of these Terms. If adopted, users will receive notice as required by law.

Villioo will not be liable for delays or failures in performance caused by events beyond our reasonable control, including:

• Natural disasters
• Fires
• Floods
• Pandemics
• War
• Terrorism
• Civil unrest
• Government actions
• Internet outages
• Utility failures
• Cyberattacks by third parties
• Labor disputes

By using the Services, you consent to receive communications from Villioo electronically, including:

• Account notifications
• Security alerts
• Billing notices
• Legal notices
• Product updates
• Customer support communications

Electronic communications satisfy any legal requirement that such communications be in writing.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be interpreted to most closely reflect its original intent while remaining enforceable under applicable law.

Villioo's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the complete agreement between you and Villioo regarding the Services and supersede all prior agreements, understandings, and communications relating to the Services.

Villioo may update these Terms periodically to reflect:

• Product improvements
• New Services
• Legal requirements
• Security enhancements
• Business operations

When material changes are made, we will provide notice through the Services, by email, or by other reasonable means where required by law. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.
